This legal notice governs access to and use of the website made available by Katalog Software, S.L., a company incorporated under Spanish law, with registered office at Mallorca 183 SA 1a, 08036 Barcelona, Spain, tax identification number B05622378, and registration in process at the Barcelona Commercial Registry ("Katalog", "Katalog Health", "we", "us" or "our").

2. Scope of this Legal Notice
This Legal Notice applies to the public website available at www.katalog.health (the "Site") and, where expressly stated, to the authenticated Katalog Health software-as-a-service platform accessible through the login area (the "Platform").
The Site is an informational website. It provides information about Katalog Health and includes contact channels and a login access point to the Platform. The Site does not allow users to purchase or contract the Platform online. Access to the Platform is provided only to authorised users designated by a Katalog customer under a separate agreement with Katalog.
The contractual relationship for use of the Platform is governed by the applicable agreement between Katalog and the customer entity (the “Customer”). This Legal Notice does not replace or amend that agreement.
3. Access to the Site and Platform
Access to and use of the Site and/or certain functionalities of the Platform may also be governed by additional legal terms, including, where applicable, the Privacy Policy, Cookies Policy and any other terms and conditions made available to users (collectively, the “Legal Terms”).
Any person who accesses or uses the Site is a “User” of the Site. Any individual who accesses the Platform using credentials issued or enabled by Katalog at the request of a Customer is an “Authorised User” of the Platform.
Authorised Users may access and use the Platform only on behalf of the Customer that has authorised them, within the scope of the Customer’s subscription, and in accordance with this Legal Notice, the applicable user instructions and the Customer’s own internal policies.
Katalog may suspend or restrict access where reasonably necessary to protect the security, availability or integrity of the Site or Platform, to comply with applicable law, or to address unauthorised or unlawful use.
4. Description of the Platform
The Platform is a digital workspace intended for business users in the pharmaceutical and healthcare product sector. Depending on the Customer’s configuration and subscription, the Platform may allow Authorised Users to create and manage product data, product lists, product teasers, media libraries and related digital materials, and to share selected product information through links.
Available modules and features may vary by Customer and may be updated over time. Katalog reserves the right to modify, update or change the presentation, configuration, functionalities and content of the Site and/or Platform, as well as the conditions applicable to its access and use, subject to applicable law.
5. Authorised use
Users/Authorised Users must use the Site and Platform lawfully, diligently and in accordance with their intended purpose. In particular, Users/Authorised Users must not:
- access or attempt to access any account, workspace, content, system or data for which they are not authorised;
- share, transfer or disclose access credentials, or allow any other person to use them;
- upload, submit, generate, store or share unlawful, misleading, infringing, confidentially unauthorised, malicious or harmful content;
- interfere with the operation, security or availability of the Site or Platform;
- circumvent authentication, access-control, security or technical protection measures;
- scrape, harvest, extract or copy data from the Site or Platform by automated means without Katalog’s prior written authorisation;
- reverse engineer, decompile, disassemble or attempt to derive the source code, models, templates, logic or architecture of the Platform, except to the extent that such restriction is prohibited by mandatory law;
- use the Platform, its outputs or any Katalog materials to train, validate, benchmark or develop competing artificial intelligence systems or competing products or services; or
- use the Site or Platform in a manner that infringes third-party rights or applicable laws, including laws on data protection, confidentiality, intellectual property, electronic communications, pharmaceutical advertising and product promotion.
6. Customer content and responsibility
The information, files, product data, images, brands, texts, prompts, materials and other content uploaded, entered or submitted through the Platform by or on behalf of a Customer remain under the responsibility of that Customer and its Authorised Users.
Authorised Users must ensure that they have the necessary rights, permissions and authority to upload and use such content in the Platform. They must not include personal data, confidential information or third-party materials unless permitted by the Customer and by applicable law.
The Customer remains responsible for the accuracy, lawfulness, completeness and regulatory suitability of the product information and materials it uploads, generates, approves, shares or distributes using the Platform.
7. Outputs, product information and regulated use
The Platform is a productivity and presentation tool. Any product lists, teasers, shared links or other materials generated, formatted or rendered through the Platform (the “Output/s”) are intended to support the Customer’s own business, licensing and product-information workflows.
Katalog does not provide medical, regulatory, promotional-compliance or legal advice through the Site or Platform. Authorised Users and their Customer organisation must review and approve any Output before relying on it, sharing it with third parties or using it in a regulated pharmaceutical, healthcare, promotional, labelling, licensing or commercial context.
Katalog does not verify or endorse the accuracy, completeness, pertinence, legality or regulatory compliance of content provided by Customers or Authorised Users, except to the extent expressly agreed in writing with the Customer.
8. AI-assisted features
The Platform may include AI-assisted features. Where Authorised Users interact with an AI system or receive AI-assisted Output, Katalog will provide the transparency information required by applicable law.
AI-assisted Output may be incomplete, inaccurate, outdated or unsuitable for a particular use. Authorised Users must review AI-assisted Output before relying on it or sharing it externally, especially where it relates to product information, promotional claims, regulated communications, Customer leads or business decisions.
Authorised Users must not use AI-assisted features to process content that their Customer is not entitled to use in the Platform, or to generate unlawful, misleading, infringing or non-compliant materials.
9. Leads and contact information
Where the Platform enables the collection, import or management of leads or business contacts, such information is processed for the purposes and under the roles described in the applicable Privacy Policy and, where relevant, in the agreement between Katalog and the Customer.
Where leads are collected for the Customer’s CRM or commercial activities, Katalog will do so in good faith and in accordance with the Customer’s reasonable instructions. The Customer remains responsible for reviewing and approving the relevant lead capture process, for determining the subsequent use of those leads and for ensuring that any marketing or commercial communications comply with the applicable Privacy Policy and applicable data protection and electronic communications laws.
Katalog will not use leads collected for a Customer to create or enrich Katalog’s own marketing database unless this is permitted by applicable law and supported by the appropriate privacy notice and, where required, a separate consent mechanism for the relevant Katalog’s own purposes.
10. Intellectual property
All intellectual and industrial property rights in the Site, the Platform, the software, user interface, design, images, templates, technology, models, documentation, databases, know-how, trademarks, trade names, logos and Katalog materials belong to Katalog or its licensors.
Users/Authorised Users are granted only a limited right to access and use the Site and, where applicable, the Platform, for the purposes for which access has been made available to them. No ownership rights are transferred to Users/Authorised Users.
Customer content and Customer-specific Outputs are governed by the applicable agreement between Katalog and the Customer. Users must not remove proprietary notices or use Katalog’s name, trademarks or materials except as expressly permitted.
11. Privacy and cookies
Personal data collected through the Site or Platform will be processed in accordance with the applicable Privacy Policy or notice made available by Katalog. That information will identify the purposes, legal bases, recipients, retention periods, international transfers where applicable, and the rights available to data subjects.
The Site and Platform may use cookies or similar technologies. Information about the cookies used, their purposes, duration and available consent or configuration options is provided in the applicable Cookies Policy.
12. Third-party links and services
The Site or Platform may contain links to third-party websites, services or resources. Katalog does not control those third-party resources and is not responsible for their content, availability, security or policies. Access to third-party resources is subject to the terms and policies of the relevant third party.
13. Availability and liability
Katalog uses reasonable efforts to keep the Site and Platform secure and available. However, the Site and Platform may be unavailable, suspended, interrupted or affected by maintenance, updates, incidents, third-party providers, internet limitations or force majeure events.
Information made available on the Site is provided for general information only and does not constitute an offer to contract, legal advice, regulatory advice, medical advice or a guarantee that any specific feature, service or commercial term will be available.
The Platform is made available as a software tool to support the Customer and its Authorised Users in creating, organising, managing and exporting product-related materials and information. The Customer and its Authorised Users are responsible for selecting, uploading, configuring, reviewing, validating, approving and using any data, materials, product information, images, claims, leads, prompts, instructions or other content entered into or generated through the Platform.
Katalog does not review, approve or validate Customer or Authorised User content, nor any Outputs, exports, product lists, product teasers, lead databases or other materials generated, configured or made available through the Platform, unless expressly agreed with the Customer under the applicable agreement. The Customer remains responsible for ensuring that such content and materials are accurate, complete, up to date, lawful, appropriate for their intended audience and compliant with any applicable legal, regulatory, industry or internal approval requirements.
Any Outputs or materials generated through the Platform, including with the support of artificial intelligence functionalities where available, are intended to be reviewed and approved by the Customer before being used, shared, published or relied upon. Katalog does not guarantee that such Outputs will be error-free, complete, suitable for a specific purpose or compliant with sector-specific requirements unless expressly agreed in the applicable agreement.
To the maximum extent permitted by law, Katalog will not be liable for damages arising from misuse of the Site or Platform, unauthorised use of credentials, Customer or Authorised User content, incorrect or incomplete data entered into the Platform, failure by the Customer or Authorised Users to review or approve Outputs, third-party services, or decisions taken by Authorised Users, Customers or third parties on the basis of content that has not been reviewed and approved by the responsible Customer. To the maximum extent permitted by law, Katalog will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising from or in connection with the use of the Site or Platform.
Nothing in this Legal Notice excludes or limits liability where such exclusion or limitation is not permitted by applicable law.
14. Changes to this Legal Notice
Katalog may update this Legal Notice from time to time to reflect changes in the Site, the Platform, applicable law or operational requirements. The latest version will be made available through the Site or Platform.
